Supplier Terms and Conditions
African Tours and Holidays

These Supplier Terms and Conditions ("Supplier Terms") govern the relationship between African Tours and Holidays ("Company", "we", "us", "our") and any tour operator, guide, lodge, hotel, transport provider, activity provider, or other service provider ("Supplier", "you") who supplies travel-related services to us.
By entering into a commercial relationship with African Tours and Holidays, accepting bookings, or providing services to our customers, you agree to be bound by these Supplier Terms.
1. Scope of Agreement
1.1 These Supplier Terms apply to all services provided by the Supplier to African Tours and Holidays, including but not limited to tours, safaris, accommodations, transport, guiding services, activities, meals, and experiences ("Services").
1.2 These Supplier Terms form a binding agreement between African Tours and Holidays and the Supplier ("Supplier Agreement").
1.3 In case of conflict between these Supplier Terms and any separate written agreement, the written agreement shall prevail.
2. Supplier Obligations
2.1 The Supplier agrees to provide Services professionally, safely, lawfully, and in accordance with industry standards.
2.2 The Supplier warrants that:

All licenses, permits, registrations, and insurance required by law are valid and maintained

Services comply with local regulations, park rules, and tourism authority guidelines

Information, pricing, inclusions, and exclusions provided to us are accurate and up to date
2.3 The Supplier shall ensure that staff, guides, drivers, and representatives are properly trained, qualified, and fit for duty.
3. Health, Safety, and Compliance
3.1 The Supplier is solely responsible for the health and safety of travelers during the provision of their Services.
3.2 The Supplier must maintain appropriate safety procedures, risk assessments, and emergency protocols.
3.3 Any accident, injury, illness, or safety incident involving a traveler must be reported to African Tours and Holidays immediately.
4. Insurance
4.1 The Supplier must maintain adequate insurance coverage, including but not limited to:

Public liability insurance

Employer’s liability (where applicable)

Vehicle and transport insurance
4.2 Proof of insurance must be provided upon request.
5. Pricing, Payments, and Commission
5.1 The Supplier agrees to provide net rates or agreed commission-based pricing as confirmed in writing.
5.2 African Tours and Holidays may sell the Services at prices determined at its discretion.
5.3 Payments to the Supplier shall be made according to the agreed payment terms, timelines, and method communicated separately.
5.4 African Tours and Holidays reserves the right to deduct commissions, refunds, chargebacks, penalties, or costs arising from Supplier failure.
6. Cancellations, Amendments, and No-Shows
6.1 The Supplier must honor all confirmed bookings.
6.2 The Supplier may not cancel or materially change a confirmed booking without prior written approval, except in emergencies.
6.3 Cancellation policies, amendment fees, and no-show charges must be clearly communicated and agreed in advance.
6.4 Any Supplier-initiated cancellation may result in penalties, non-payment, or termination of the Supplier Agreement.
7. Service Standards and Quality Control
7.1 African Tours and Holidays reserves the right to monitor Service quality, including customer feedback, reviews, and complaints.
7.2 Repeated complaints, poor performance, or breach of standards may result in suspension or termination.
8. Customer Complaints and Refunds
8.1 The Supplier shall cooperate fully in resolving customer complaints.
8.2 Where a refund, compensation, or partial refund is issued due to Supplier fault, the Supplier agrees to reimburse African Tours and Holidays accordingly.
9. Liability and Indemnification
9.1 The Supplier is responsible for any loss, damage, injury, or claim arising from:

Negligence or misconduct of the Supplier

Failure to provide Services as agreed

Breach of law or regulation
9.2 The Supplier agrees to indemnify and hold harmless African Tours and Holidays from all claims, costs, damages, and liabilities arising from Supplier actions or omissions.
10. Force Majeure
Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, pandemics, government actions, strikes, or civil unrest.
11. Confidentiality
The Supplier shall keep confidential all commercial terms, pricing, customer data, and business information received from African Tours and Holidays.
12. Intellectual Property
The Supplier grants African Tours and Holidays the right to use Supplier names, logos, images, and content for marketing and sales purposes unless otherwise agreed.
13. Non-Solicitation
The Supplier shall not directly solicit or accept direct bookings from customers introduced by African Tours and Holidays for the same Services outside this agreement.
14. Termination
14.1 Either party may terminate this Supplier Agreement with written notice.
14.2 African Tours and Holidays may terminate immediately in case of serious breach, safety violations, fraud, or reputational risk.
15. Governing Law and Jurisdiction
This Supplier Agreement shall be governed by and construed in accordance with the laws of the country in which African Tours and Holidays is registered.
16. Amendments
African Tours and Holidays reserves the right to update these Supplier Terms from time to time. Continued cooperation constitutes acceptance of the updated terms.
